1. Introduction

Welcome to Ztechify. By using our services or website, you agree to these terms and conditions. These terms apply to all projects unless superseded by a written agreement.

2. Scope of Services

2.1. Services Provided: We offer website design, web application development, mobile application development, and associated services as agreed upon in the project contract or discussions.

2.2. Third-Party Integrations: Any third-party services (e.g., APIs, hosting, payment gateways) integrated into the project will be governed by their respective terms of use.

2.3. Exclusions: Unless explicitly mentioned, our services do not include hosting, domain purchase, or ongoing technical support.

3. Project Workflow

3.1. Requirement Gathering: The client must provide all required documentation, assets, and information to define the project scope clearly.

3.2. Initial Proposal: A detailed project proposal, including timelines, pricing, and deliverables, will be shared for approval before work begins.

3.3. Revisions:

  • Included Revisions: Up to 10 minor revisions are included within the project scope.
  • Excessive Revisions: Any revisions exceeding this limit or significant changes to the scope will result in additional charges.

3.4. Approval Process: The client must review and approve deliverables at each milestone to ensure timely progress.

4. Pricing and Payment

4.1. Project Pricing: Pricing is based on the initial scope of work agreed upon. Additional features or changes will incur additional charges.

4.2. Payment Milestones:

  • Deposit: 25% upfront to confirm the project.
  • Milestone Payments: 25% tied to specific project stages.
  • Final Payment: Due upon project completion before final delivery or deployment.

4.3. Refund Policy: Refunds are not available for completed work or non-refundable deposits.

4.4. Taxes: Any applicable taxes or fees are the client’s responsibility unless otherwise stated.

5. Timelines and Delivery

5.1. Estimated Timelines: Project timelines will be estimated based on the agreed scope and client cooperation.

5.2. Delays: Timelines may be extended due to:

  • Delays in client approvals or submissions.
  • Additional requests beyond the initial scope.
  • External factors beyond our control (e.g., third-party delays).

5.3. Deliverables: Final deliverables will be provided in the agreed formats. Deployment services will only be included if explicitly mentioned in the project scope.

6. Ownership and Intellectual Property

6.1. Deliverables Ownership: Ownership of the final product transfers to the client upon full payment.

6.2. Pre-existing Code or Assets: Any pre-existing code, libraries, or tools used remain our intellectual property unless otherwise agreed.

6.3. Portfolio Usage: We reserve the right to showcase non-confidential aspects of completed projects in our portfolio and marketing materials.

7. Client Responsibilities

7.1. Timely Communication: The client must respond promptly to requests for feedback, approvals, or materials to avoid delays.

7.2. Content and Assets: The client is responsible for providing accurate and legally owned content, images, and materials for the project.

8. Confidentiality and Data Protection

8.1. Confidentiality: All client-provided information will be kept confidential and used solely for project-related purposes.

8.2. Data Security: While we take reasonable measures to protect client data, we are not liable for breaches caused by third-party services or unforeseen circumstances.

9. Limitation of Liability

We are not liable for:

  • Losses arising from delays or issues outside our control.
  • Compatibility issues with outdated browsers, devices, or operating systems not specified in the scope.
  • Losses caused by misuse, improper maintenance, or third-party modifications of the delivered product.

10. Termination

10.1. Termination by Client: Clients may terminate the project with written notice. Refunds will not be issued for completed or in-progress work.

10.2. Termination by Us: We may terminate the agreement if:

  • The client is unresponsive for an extended period.
  • The client breaches payment terms or engages in unethical conduct.

10.3. Outstanding Payments: All outstanding payments for work completed up to the termination date must be settled.

11. Post-Delivery Support and Maintenance

11.1. Bug Fixes: Minor bug fixes within the first 7 days of delivery are included.

11.2. Additional Support: Maintenance, updates, or technical support can be arranged under a separate agreement.

12. Force Majeure

We are not responsible for delays or non-performance caused by unforeseen circumstances, such as natural disasters, strikes, or disruptions to third-party services.

13. Amendments to Terms

These terms may be updated periodically. Clients will be notified of significant changes. Continued use of our services implies acceptance of the revised terms.

14. Dispute Resolution

14.1. Good Faith Efforts: Parties agree to resolve disputes amicably through negotiation.

14.2. Legal Proceedings: If unresolved, disputes will be resolved under the laws of the client’s country. If the client refuses, it will be resolved under the laws of a mutually agreed country. If no agreement is reached, the matter will be handled under the laws of the Republic of Iraq.
